Terms of Service
These Terms of Service ("Terms") are a binding contract between you and ClosedDoors Live ("ClosedDoors," "we," "us") governing your access to and use of closeddoors.live and our live streaming platform (the "Service"). By creating an account, joining an event room, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old (or the age of legal majority in your jurisdiction) and possess the legal capacity to form a binding contract. If you access or use the Service on behalf of an organization or business entity, you confirm that you are authorized to bind that organization to these Terms.
2. Accounts
Event hosts require an account. You must provide accurate and complete registration details, keep your sign-in credentials and private stream keys strictly confidential, and accept full responsibility for all activities occurring under your account, including actions taken by collaborators or team members you invite. You must notify us promptly at support@closeddoors.live if you suspect unauthorized access or compromise.
3. Hosts: your responsibilities
If you create or host an event, you:
- Are solely responsible for all video, audio, and visual content you broadcast, chat moderation, and whom you invite.
- Confirm that you have lawful authority to upload each guest's email address and invite them (including any consent or notice required under privacy laws).
- Are responsible for obtaining any consent required to record, replay, or retain a broadcast.
- Will not upload sensitive personal data in guest lists.
- Are fully accountable for the permissions and actions of team members you invite as Superadmins, Admins, or Viewers.
4. Guests
Access is strictly personal to the invited email address. You agree not to share one-time access codes, authenticated device tokens, or stream links, not to circumvent device concurrency limits or security controls, and not to record, capture, or redistribute a broadcast unless the host has explicitly authorized it in writing. Hosts reserve the right to remove or ban attendees at any time without prior notice.
5. Acceptable use
You may not use the Service to:
- Broadcast or transmit anything unlawful, infringing, defamatory, harassing, hateful, or sexually exploitative, or that involves minors in any harmful or non-consensual manner.
- Violate any person's intellectual property, privacy, or contractual rights.
- Send unsolicited messages, spam, phishing attacks, or fraud.
- Attempt to probe, test, or bypass our security, access controls, or device-binding tokens, or scrape the Service using automated bots or scripts without express written permission.
- Interfere with, overburden, or degrade platform networks or infrastructure.
- Resell, white-label, or sublicense the Service without our prior written consent.
We reserve the right to investigate suspected violations, interrupt streams, remove content, and terminate or suspend accounts.
6. Your content
You retain complete ownership of the video, audio, text, and other media you broadcast or submit ("Content"). You grant ClosedDoors Live a worldwide, non-exclusive, royalty-free license to ingest, transcode, store, record, reproduce, and transmit Content solely to operate, secure, and deliver the broadcast to your invited guests. You warrant that you possess all necessary rights, licenses, and clearances (including music and synchronizations) for your broadcast.
7. Recordings and replays
When enabled, broadcasts are recorded and made available to invited guests for a limited retention period (up to 7 days, depending on your tier). Following the expiration of the retention window, recordings are automatically purged and may not be recoverable. Download or back up anything you wish to retain. We do not warrant that recordings will be error-free or indefinitely preserved.
8. Beta status, fees, and payment
Commercial pricing plans and self-serve billing will be introduced in a future release. When paid plans launch, fees will be billed in advance according to the terms presented upon enrollment. Except where required by applicable law, fees will be non-refundable. Any adjustments to commercial subscription pricing will be accompanied by reasonable advance notice prior to renewal.
9. Our intellectual property
The Service, including its code, user interface, brand assets, logos, and proprietary streaming infrastructure, belongs to ClosedDoors Live and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in compliance with these Terms. Any feedback or feature suggestions you submit may be utilized freely without obligation or compensation.
10. Privacy and security
Our Privacy Policy explains our collection and use of personal information. While we implement robust cryptographic device binding and tokenized edge delivery, no internet transmission is entirely invulnerable. We are not liable for client-side screen recording or physical link sharing by an attendee.
11. Copyright complaints
If you believe that any broadcast or content on the Service infringes your copyright, email support@closeddoors.live with the subject line "Copyright Notice" including your contact details, a description of the copyrighted work, the specific room URL, and a statement made under penalty of perjury that your notice is accurate and you are the copyright owner or authorized representative. We promptly investigate valid notices and terminate repeat infringers.
12. Suspension and termination
You may terminate your account at any time. We reserve the right to suspend or terminate access, with or without notice, if you violate these Terms, generate unacceptable legal or security liability, or disrupt operations. Sections that by their nature survive termination (including ownership, disclaimers, limitation of liability, and indemnification) remain in full effect.
13. Availability and changes
Live video streaming relies on global networks, telecom providers, ISP routing, and client hardware outside our direct control; accordingly, we cannot guarantee continuous or error-free uptime. We may modify or evolve features and will provide reasonable advance notice for material alterations.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, FULLY SECURE, OR ERROR-FREE, OR THAT ACCESS CONTROLS WILL PREVENT EVERY FORM OF UNAUTHORIZED USER-SIDE RECORDING.
15. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CLOSEDDOORS LIVE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, NOR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR THE MINIMUM STATUTORY THRESHOLD PERMITTED BY APPLICABLE JURISDICTION.
16. Indemnity
You agree to defend, indemnify, and hold harmless ClosedDoors Live, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and reasonable legal expenses arising out of or related to your Content, your use of the Service, or your breach of these Terms or applicable laws.
17. Governing law and disputes
These Terms are governed by and construed in accordance with the laws applicable to the jurisdiction where the Service operates, without regard to conflict of law principles. Any formal legal action or proceeding arising under these Terms shall be submitted to competent courts of competent jurisdiction.
18. Changes to these Terms
We may revise these Terms as the platform develops. In the event of a material modification, we will issue notice via email or within the Service before the change takes effect. Continued use of the Service following the effective date signifies your acceptance of the updated Terms.
19. General
These Terms and our Privacy Policy constitute the complete and exclusive agreement between you and ClosedDoors Live regarding the Service. If any provision is deemed invalid or unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any right does not constitute a waiver. You may not assign these Terms without our consent; we may assign our rights in connection with a corporate reorganization, merger, or asset sale.
